These Terms of Service ("Terms") govern your access to and use of the services provided by Dills Analytics LLC ("Dills Analytics", "we", "us", or "our"). By using our services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our services.
In these Terms: (a) "Services" means analytics, reporting, consulting, software tools, dashboards, and related content offered by Dills Analytics; (b) "User" means any person or entity that accesses or uses the Services; (c) "Content" means any data, text, images, or other material submitted or generated through the Services. These Terms apply to all Users and may be supplemented by specific Service Agreements.
By creating an account, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and promptly update it as needed.
You may use the Services only for lawful purposes and in accordance with these Terms. You must not: (a) misuse the Services or infringe any laws or third-party rights; (b) attempt to gain unauthorized access; (c) reverse engineer, decompile, or disrupt the Services; (d) use the Services to disseminate malware or malicious content.
All ownership rights in the Services, software, designs, and any related materials are owned by Dills Analytics or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Services as described. You grant us a non-exclusive license to use any Content you submit for provision and improvement of the Services, subject to applicable privacy and security measures.
Fees, if applicable, are described in the service agreement or on our website. You agree to pay all invoiced amounts in the stated currency. Late payments may incur interest as permitted by law. We may suspend or terminate access for non-payment in accordance with applicable law.
To the maximum extent permitted by law, Dills Analytics excludes indirect, incidental, special, consequential, or punitive damages arising from use of the Services. Our Services are provided on an "as is" and "as available" basis without warranties of any kind. In jurisdictions where implied warranties cannot be disclaimed, these disclaimers may not apply to you.
These Terms are governed by the laws of the United States, without regard to conflicts of law provisions. Any disputes will be resolved through confidential arbitration, mediation, or in courts in the state of Tennessee, as applicable, subject to mandatory consumer protection and data privacy laws. If any provision is found invalid, the remaining provisions stay in effect.
